3. Project Engagement & Services

All project engagements are governed by a separate written agreement executed between Spensei.Design and the client prior to the commencement of any work. Said agreement shall define the scope of work, deliverables, timelines, payment terms, and any other project-specific conditions.

Spensei.Design reserves the right, at its sole discretion, to decline any project inquiry or engagement request without obligation to provide reasoning.

4. Payments & Refunds

Payment terms applicable to any engagement shall be set forth in the individual project agreement or invoice. Unless explicitly agreed otherwise in writing, the following terms apply:

  • A non-refundable deposit is required prior to the commencement of any work;

  • The remaining balance is due in full upon project completion, prior to the release of final deliverables;

  • No refunds will be issued for work that has been completed or partially completed.

Invoices not settled by the agreed due date may be subject to late payment fees as specified in the applicable project agreement.

5. Confidentiality

Spensei.Design agrees to handle all sensitive information disclosed by the client with reasonable care and confidentiality. Such information will not be disclosed to third parties except where required by law or expressly authorized by the client in writing.

In kind, the client agrees not to disclose, reproduce, or distribute any proprietary methodologies, processes, or work product belonging to Spensei.Design without prior written consent.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Spensei.Design shall not be liable for:

  • Any direct, indirect, incidental, or consequential loss or damage arising from the use of, or inability to use, this website or any services provided;

  • Delays, errors, or failures attributable to third-party vendors, platforms, or service providers;

  • Any business outcomes, results, or decisions made in reliance on design, branding, or strategic work delivered under any project agreement.

All services are provided on an "as-is" basis. Use of this website and engagement of services is undertaken at the client's own risk.

7. Third-Party Tools & Links

This website may contain hyperlinks to third-party websites or incorporate embedded third-party tools and platforms. Spensei.Design does not endorse, control, or assume responsibility for the content, privacy practices, or data handling of any third-party site or service. Access to and use of third-party resources is undertaken at the user's sole discretion and risk.

8. Amendments to These Terms

Spensei.Design reserves the right to amend, update, or replace these Terms & Conditions at any time without prior notice. The most current version will be maintained on this page and identified by the date noted at the top of this page.

Continued use of this website or engagement of services following any amendment constitutes acceptance of the revised Terms & Conditions.

9. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Spensei.Design operates. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.
